Terms and Conditions

1. Definitions

In these Terms and Conditions, the following terms shall have the meanings ascribed to them:

• "Gradesity" refers to the online platform, including the website, software, and related services, which facilitates the uploading, selling, and purchasing of study materials, test banks, notes, and other academic content.
• "User" refers to any individual who accesses, registers, or otherwise makes use of the Gradesity platform, including but not limited to buyers, sellers, and visitors.
• "Content" refers to any digital material, including but not limited to documents, PDFs, notes, test banks, study guides, books, and any other educational material uploaded, shared, sold, or downloaded on the platform.
• "Platform" refers to the Gradesity website, mobile applications (if applicable), servers, databases, and any digital infrastructure used to facilitate the services provided by Gradesity.
• "Seller" refers to any registered user who uploads and lists study materials for sale on the Gradesity platform.
• "Buyer" refers to any registered or non-registered user who purchases study materials from the Gradesity platform.
• "Payment Gateway" refers to the third-party financial service provider(s) through which transactions, including purchases and withdrawals, are processed. Gradesity currently integrates IntaSend for transactions, including Google Pay, Apple Pay, card payments, and Cash App.
• "Transaction Fee" refers to the processing fee charged by the payment gateway for facilitating purchases and withdrawals.
• "Refund Request" refers to a formal inquiry submitted by a buyer requesting a return of payment due to an issue with the purchased content.
• "Copyright Violation" refers to the unauthorized use, reproduction, or distribution of copyrighted material without permission from the rightful owner.

2. Applicability

These Terms and Conditions apply to all users of the Gradesity platform. By accessing, registering, uploading, selling, purchasing, downloading, or otherwise engaging with the platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions in full. If you do not agree with any part of these Terms and Conditions, you must immediately discontinue use of the platform.

3. User Accounts and Profile

In order to access certain features of the platform, including uploading and purchasing study materials, users are required to create an account. By creating an account, you agree to provide accurate, current, and complete information, including your name, email address, and payment details where applicable.

Users are solely responsible for maintaining the confidentiality of their login credentials and must not share their account details with any third party. Gradesity shall not be liable for any unauthorized access to or use of your account. If you suspect unauthorized access, you must notify Gradesity immediately.

4. Functionalities of the Platform

Gradesity provides a digital marketplace where users can purchase, and download study materials. The platform includes features such as document previews, user reviews, and secure payment processing.

Sellers are responsible for ensuring that the content they upload is accurate, relevant, and does not infringe upon any third-party rights. Buyers are encouraged to review content descriptions before making a purchase, as all sales are generally final unless otherwise stated in the Refund Policy.

5. Downloading Study Material

Once a buyer completes a purchase, the study material will be made available for download. Purchased materials are for personal use only and may not be redistributed, resold, or shared without express permission from the seller or Gradesity.

6. Payment

Payments for study materials are processed securely through Gradesity’s integrated payment gateway, IntaSend, which facilitates transactions via Card, Google Pay, Apple Pay, and Cash App. By completing a purchase, users agree to the payment processing terms set forth by IntaSend.

Gradesity does not store any sensitive payment information such as credit card details. Any transaction fees applicable to purchases or withdrawals shall be borne by the user.

7. Refund Policy

If a buyer encounters an issue with purchased content, they may submit a refund query within 72 hours of the transaction. Each refund request will undergo investigation, during which the validity of the claim will be assessed. If the claim is found to be justified, a refund will be processed accordingly.

If the refund request is deemed invalid, the case will be closed permanently, and the decision shall be final. No further appeals or re-evaluations will be conducted. The judgment shall be made with fairness to both the buyer and the company.

8. Copyright Infringement and Abuse Reports

Gradesity respects intellectual property rights and is committed to removing infringing content. If you believe your copyrighted material has been uploaded without your consent, you may file an abuse ticket detailing the violation.

The case will be reviewed, and if the claim is found valid, the infringing content will be taken down. Gradesity reserves the right to suspend or terminate accounts found repeatedly uploading infringing material.

9. Liability

Gradesity shall not be held liable for any damages, direct or indirect, arising from the use of the platform, including but not limited to financial loss, academic consequences, or data breaches.

10. Force Majeure

Gradesity shall not be responsible for any delay or failure in performance resulting from unforeseen circumstances beyond our reasonable control, including but not limited to natural disasters, cyber-attacks, legal changes, technical failures, or internet service disruptions.

11. Applicable Law and Jurisdiction

These Terms and Conditions are governed by and shall be interpreted in accordance with the laws of Kenya. Any disputes arising out of or in connection with these Terms and Conditions shall be exclusively resolved in the competent courts of Kenya.

12. Miscellaneous

Gradesity reserves the right to modify or update these Terms and Conditions at any time. Users will be notified of significant changes, and continued use of the platform after modifications constitutes acceptance of the revised terms.
